18.4. Proprietary Rights Agreement Programmer and/or Analyst

In consideration of my employment by Michigan Technological University (hereinafter referred to as University) to do work as a programmer and/or analyst, and of the salary and/or other compensation paid me by the University, and for the purpose of definitely settling any question or possible controversy which may arise between the University and me as to the respective rights in and to any apparatus, software and/or related documentation, data, reports, and the like and as to the ownership of any patent or copyright which may be granted to me hereafter, I hereby agree that, in the event that I, either solely or jointly with others, shall conceive, develop, and/or reduce to practice any such apparatus, software and/or related documentation, data, reports and the like and any discovery or invention, in the course of my employment by - or through the use of the facilities and equipment of the University, whether made during the usual working time or otherwise, the same shall be and become the property of the University. I further agree that:

1. As to discoveries and/or inventions relating to patentable subject matter, the terms of the attached "University Patent and Research Agreement" shall be applicable.
   
   
2. As to computer related apparatus, software and/or related documentation, data, reports, and the like:
   
   
   1. I will not directly or indirectly during or after the term of my employment (1) give to any person, not authorized in writing by the University to receive it, any information classified for purposes of internal University security or specifically designated by the University as "limited", "private", or "confidential"; or (2) give to any person not authorized in writing by the University to receive it, any of the University's proprietary data or information relating to products, programs, systems inventions, ideas, processes, research and the like and including, without limitation, drawings, programs, system sketches, layouts, formulae, specifications, reports, and other written manufacturing, technical, or scientific information.
      
      
   2. I will promptly advise the University manager of computer services, in writing, and in sufficient detail for a complete understanding, of each unique program, software system, or apparatus that I alone, or jointly with others, make or conceive. I agree to assign, and hereby do assign, to the University all my right, title, and interest in and to each unique program or software system that is so made or conceived by me and will, at all times, either during or after the term of my employment by the University, execute and deliver any such assignments deemed necessary by the University to effect its ownership in such programs and software systems and to execute any other instruments prepared by, or on behalf of, the University and to do all acts required to assist the University in obtaining and maintaining patents, copyrights or other proprietary interest in such programs or software systems in any and all countries, all to be done by me without further compensation other than reimbursement for my direct expenses in providing such assignments, other instruments and assistance.
      
      
   3. The University shall be the sole and exclusive owner of any and all reports, drawings, programs, systems data, writings and technical information made or prepared by me alone or with others that relate to apparatus, software, systems development, composition of material, or methods pertaining to University business to which I am exposed.
   
   
   
3. I will not, except when authorized by the University, remove any of the property designated in paragraphs (2)(a), (b), and (c) above during my term of employment by the University and I will immediately upon termination of my employment by the University return to it all such property and information and any other property of the University then in my possession or under my control.
   
   
4. I will keep myself informed of the University's policies and procedures for safeguarding University proprietary data and information, and property in general, and, at all times will comply strictly therewith.
